THQ and South Park Studios entered into a Deal Memo, granting THQ use of certain South Park trademarks and copyrights, on June 29, 2011. THQ filed for Chapter 11 bankruptcy on December 19 and is being auctioned off today, January 22, at 3 p.m. EST.

In an objection filed in Delaware bankruptcy court, South Park Studios claims that the Deal Memo does not allow other parties use of the South Park IP, and even if the game does end up at a different company, THQ owes South Park Studios at least $2.275 million. South Park Studios "also reserves the right to exercise its option to acquire from THQ all elements of the games and related products under the Deal Memo."

THQ filed a reply on January 21, requesting that the court overrule the objection and allow the sale to continue, though it says it is working toward a consensual resolution with South Park Studios. THQ argues that the license is exclusive and therefore transferable as THQ sees fit. As for the $2.275 million, THQ is "evaluating the amount that South Park asserts is owing" and plans to work with South Park Studios to resolve the issue.

All bids in the THQ bankruptcy sale were due by 9 a.m. EST today and the auction begins at 3 p.m. Hearing on the sale takes place tomorrow, January 23, at 9:30 a.m., with the closing on January 24. THQ will only sell assets individually if it receives bids of more than $60 million (plus a $10 million note) that Clearlake Capital Group is offering for the entire company. The auction has attracted the attention of EA, Warner Bros., Double Fine and others.

However, just because the company doesn't necessarily have to work in existing franchises doesn't mean the team will stop doing so.

"Working with franchises can be challenging, but at the same time I really did enjoy working on Star Wars, for example, and I have done a lot of Dungeons & Dragons games, but I still enjoy it very much," Obsidian creative director Chris Avellone told me. "And there's plenty of franchises out there that we would love to work with still."

Developing games in pre-existing universes can be rewarding for Obsidian, Avellone suggested. South Park: The Stick of Truth, which is as far from Obsidian's comfort zone as anything would be, illustrates the benefits.

"The fact that you're implementing game system mechanics that cater to the South Park franchise, in the sense of rude and obnoxious different weapon types," Avellone explained, "we rarely get a chance to flex our design skills in those directions, and it's a lot of fun to do. We're actually learning a lot while we're doing it. That's another advantage of working on someone else's franchise. You sort of get inside their head for a sense of how they think, and how that stuff can be converted into game mechanics."

Obsidian was dropped into South Park with a surprisingly clear vision of what to do, as a concept had already been proposed. "We didn't actually know what they were thinking about in terms of RPGs, so we went up there for one day, they ran us this animatic sequence of how they imagined the opening of the game playing," and Obsidian "got it" immediately. "It was hilarious, and we got it, we see what you're trying to make here. It's going to feel like the show, it's going to look like the show. Here's how you interpret the controller mechanisms."

What wasn't as clear from the outset was whether the Stick of Truth offer was true. "I would never have thought we'd get a chance to do an RPG like that, and like holy crap," Avellone said. "When we first heard about it, I seriously thought some other game company was punking us. 'Ha ha ha, we're from South Park and we want to do an RPG!... ha ha, fake.'"

Tenorman's Revenge is the second XBLA-exclusive title from the South Park universe, following South Park Let's Go Tower Defense Play!, which debuted in 2009. Tenorman's Revenge is the final XBLA exclusive from South Park Studios under its initial agreement with Microsoft.

Show creators Matt Stone and Trey Parker are hard at work on South Park: The Game -- perhaps doubly so now that a few of the Obsidian team members were "affected" by layoffs.

The fifth mystery class for Obsidian's South Park: The Game has been revealed as the Jew, joining the Paladin, Wizard, Rogue, and Adventurer classes.

It's bound to upset a few people, we imagine, but that's kinda what South Park creators Trey Parker and Matt Stone do. To expect anything less is, at this point, silly. But be warned: selecting that class is bound to elicit a few negative comments from Cartman.

In the new game, the Jew class is described as being a hybrid between Monk and Paladin. Matt Maclean, lead designer, tells Game Informer the Jew will be "high risk, high reward" and strongest when closest to death.

To break it down, players of South Park: The Game will be the new kid in town, and the main struggle will be to fit in and be accepted (See? South Park really is a public-programming after-school show, mom). Characters will be completely customizable and Cartman will help players choose their class -- wizard, paladin, adventurer, rogue or another, unannounced class made up by Cartman.

The story will begin with players joining a live-action RPG with neighborhood kids, which will then turn into a real adventure. The combat system will mirror Paper Mario, weapon augmentation will draw from Final Fantasy's Materia, and the levels are all illustrated and animated by hand, in a completely 2D format, devoid of any real-life hamsters. Parker and Stone say there will be a summoning system, but that they can't talk about it yet.

And, most shocking of all, Parker and Stone say the game will be funny. NeoGAF has a nice summary of the article right here.

Fallout: New Vegas dev Obsidian is apparently working with publisher THQ to craft "South Park: The Game," an RPG set in the world of South Park. We're already imagining Cheesy Poofs buffs and plundering the depths of Casa Bonita's mysterious caverns.

According to Game Informer, who has the exclusive cover debut of the title, South Park will arrive some time in 2012. As per usual with these cover reveals, you'll find out much more in next month's issue of GI, which hits subscribers in the coming week.

Update: According to a press release from THQ, the game is also expected on PC, and should arrive in the "second half of 2012."

This marks the second and final game under Microsoft's exclusivity agreement with South Park Digital Studios, as we revealed earlier this year. South Park: Let's Go Tower Defense Play!, the first game in the deal, debuted at NY Comic Con two years ago (nearly to the day!).

For Tenorman's Revenge, South Park Digital Studios and Comedy Central are teaming up with quirky developer Other Ocean Interactive to put together a downloadable platformer where players will control Cartman, Stan, Kenny and Kyle against a red-hued army of "gingers," controlled by none other than Scott Tenorman. Beyond the main campaign of (presumably) hopping over gingers and avoiding their evil tricks, the game also features a multiplayer co-op mode (online and off), though it's unclear if that's a separate mode or a co-op version of the campaign.

We'll know more very soon, though, as Tenorman's Revenge will be making a more thorough debut at this weekend's New York Comic Con, where developers and South Park producers alike will present the game and take questions from the crowd. That debut takes place tomorrow at 6:15PM ET. So, uh, if you're not in New York yet, it's probably a good idea to start planning. Head past the break for an exclusive look at the first image, featuring everyone's favorite three animal combo (besides the turducken, of course), ManBearPig.

In speaking with 345 Games creative director Prithvi Virasinghe during a recent Ugly Americans: Apocalypsegeddon preview, I couldn't help but wonder what other Comedy Central properties his studio might work on next -- perhaps one of the network's most famous?

"Right now, South Park is actually in a first-party deal with Microsoft Studios, who published the first game, and they're doing a second game as well," he explained. Apparently South Park: Let's Go Tower Defense Play! was just the first of two titles in the deal, set to expire whenever that follow-up title launches. "After that, that first-party exclusivity window expires, and we get a shot of taking that back," Virasinghe explained.

Though his team is up to the challenge, Virasinghe also has some other projects he's interested in first, particularly a couple of ideas involving Stephen Colbert (as well as Colbert's hilarious side character, Tek Jansen). That said, the developer needs to leap some hurdles before that can happen, the least of which is deciding whether or not its game idea fits well with the brand. According to him, "It has to be the right combination of game idea meets property." Personally, I'm holding out for Tek Jansen.

In the show's typical fashion, the episode is a hyperbolic, metaphorical critique of the treatment of professional and collegiate athletes, and their complaints of being denied royalties for media which feature their likeness. One target of the show's scathing barbs was EA Sports, headed up by one "Mr. Peters," a mock-up (pictured above!) of real-life studio president Peter Moore.

You can watch the full episode for free online over at South Park Studios. We've contacted EA Sports to see if it has any comment on the show -- considering it's South Park's second send-up of the developer, we imagine its hackles might be a little raised.

Beyond that, Xbox Live Silver members will also be able to enjoy free Xbox Live Gold -- including online multiplayer, Netflix, last.fm, Facebook and Twitter -- from noon ET on April 1 through noon ET on April 5. And, as if all that wasn't enough, Major announced that ten Xbox Live Arcade games will go on sale from April 1 through April 7. The episode in question shows a mock-up of Tiger Woods PGA Tour 11, mixing in some ridiculous fighting elements (involving the wife he cheated on) into the golf sim portion of the game. It's really over-the-top, akin to the show's usual satire practices.

We contacted EA to get to the bottom of this, to which an EA spokesperson commented the rumored impending lawsuit is "nonsense." So, there you have it: EA is not suing over the episode. Nothing else to see here -- move along.

In less puzzling news, the XBLA activity is along the lines of something we're used to seeing. Trials HD remains atop the list, followed by Castle Crashers and South Park Let's Go Tower Defense Play. Konami's Zombie Apocalypse also managed to survive the gauntlet and make its way onto the list and, combined with the recent release of Left 4 Dead 2, we feel mankind is finally starting to reach acceptable levels of preparation for the inevitable future of a world plagued by the undead.

Specifically, Trials HD -- long the reigning XBLA champion -- saw its leaderboard numbers drop from 14,890 players on the week of November 2 to 8,942 the week of November 9, about a 40 percent loss. Meanwhile, other titles including South Park, Zombie Apocalypse and Tower Bloxx Deluxe saw their leaderboards almost halved. Castle Crashers, curiously, only saw its numbers drop from 8,395 players to 6,034, a reduction of only 28 percent.

Still, it's pretty clear that Modern Warfare 2 has pulled a lot of gamers away from the more casual fare on XBLA. Either that, or lots of hardcore Call of Duty fans unceremoniously yanked the controllers from their more casually-oriented significant others.

Major Nelson reports that South Park: Let's Go Tower Defense Play rests at the top of the most purchased XBLA games for the week, while Lucidity -- which debuted the same week to mixed reviews -- failed to make the top ten at all. It's not a direct measurement of the title's early success, but it certainly doesn't bode well for LucasArts' original puzzle platformer.

Based on the apparent success of South Park we have a suggestion for Lucidity 2: More cursing.

It looks sort of like a typical tower defense game, except the kids seem to be building the towers themselves. Also, they're sort of like mobile towers of their own, and it seems that several people are playing cooperatively. It's all very puzzling, but at least it can't be worse than Chef's Luv Shack.

The mysterious South Park Xbox Live Arcade game now has an official genre, release date and big public reveal at San Diego Comic-Con. South Park Let's Go Tower Defense Play! is a tower defense game that'll launch "exclusively" on Xbox this October 7, which is allegedly when the next season of the long-running animated series starts.

Also, during Comic-Con, there is a panel entitled "Save South Park One Snowball at a Time," which is where the game will be premiered. It's from 3:30-4:30PM in room 6A ... feel free to take your HD camera and send us some video.

OMG. They streamed Kenny! Netflix has announced that, as of right now, every episode from the first nine seasons of South Park are available for Instant Queue streaming. In other words, if you have a Netflix account, you can watch all 139 episodes without incurring additional charges ... or buying them from the Live Marketplace. Wait, howzit?

While South Park represents just one show from Comedy Central available to this extent via Netflix streaming (c'mon the Daily Show!) it's interesting to note how this announcement may directly affect sales of single episodes (at 160/$2 a pop) from the Marketplace. XBLM houses four more seasons than are available via Netflix (10-13) but 1-9 are standard definition only, nixing a possible incentive to purchase. We'll check in with Microsoft in a couple weeks to see if there's been any slowing of downloads.

Unfortunately, classic video game inspired episodes of the show, including "Make Love, Not WarCraft" and "Guitar Queer-o," didn't air until after season nine. It's a conspiracy, we tell you ... a conspiracy. If it's any consolation, season three of Spongebob Squarepants is also available as part of the arrangement. We love that guy.

Remember that epic trailer showcasing the new South Park game for Xbox Live Arcade? All 2.4 seconds of it. No details were dropped regarding what type of game it would be but the South Park Studios official site is already trying to fuel the hype train.

A posting moments after it was unveiled at the conference reads: "A brand new South Park game is coming to Xbox Live in 2009. That's all we've got for now, but stay tuned for more details over the next few months. Let the speculations begin!"

We don't have any guesses on what it will be but we hope it has nothing to do with that awful first-person shooter or the terrible kart racing game or that laughable mini-game collection or ... wait, are we supposed to speculate on whether or not it's going to suck? Who do we send our guesses to?

Today during the Microsoft Press Conferenc, Microsoft announced a handful of new XBLA titles. Along with Portal: Still Alive, gamers can expect to play Geometry Wars: Retro Evolved 2 as well as Galaga Legions exclusively coming to the Xbox 360 next month. Microsoft also teased an exclusive South Park based XBLA title, but no other details are known at this time. While discussing the upcoming Banjo Kazooie: Nuts & Bolts also announced the original N64 classic will be made available on XBLA this fall.

The website which reported that three Rock Band tracks would be packaged with the South Park: Season 11 DVDs has now taken that bit of info back. TVShowsonDVD.com says that a Paramount representative informed them the information was incorrect, but that there will be other bonus materials in the release. South Park's eleventh season had the infamous "Guitar Queer-o" episode.

Considering South Park had an entire episode about Guitar Hero, it would have been a little weird if the DVDs came with Rock Band downloads. However things got mixed up, it's a little sad to see the info turn out false -- unless the "bonus materials" end up being Guitar Hero III tracks.

Remember earlier in the month when we mentioned that the eleventh season of South Park on DVD would include three mystery Rock Band tracks? Well, the mystery has been solved and those songs are ... nothing, nothing at all. Yes, it seems a studio spokesperson has confirmed the three-tracks were not happening after all and that retailers actually had incorrect information.

If we could speculate for a second as to why. Considering South Park had an entire episode dedicated to Guitar Hero and that the concept art for the eleventh season DVD set shows Stan and Kyle rocking out to Guitar Hero-style controllers it's possible that the tracks were never intended for Rock Band but for ... you guessed it, Guitar Hero III: Legends of Rock. But why would a retail insider say Rock Band? Well, for the same reason your mother calls all your videogames Nintendo. They just don't know the difference.

The studio spokesperson did say new details on the set are coming soon, so stay tuned.

According to a post on TV Shows on DVD, a retailer insider revealed that the upcoming South Park Season 11 DVD includes three exclusive tracks for Rock Band for a limited time.

Details on the included downloadable content are unknown, including what songs are included and which consoles the DLC is for. Earlier last week we revealed a Best Buy flyer that announced the upcoming CD from Disturbed would include free, Xbox 360 exclusive, Rock Band DLC.

With an Academy Nominated track like "Blame Canada" under their wing, let us all hope creators Matt Stone and Trey Parker are going into the South Park well to pull out a few gems from the long-running series. South Park Season 11 is due out on August 12.

Crazy obsessed South Park fanboys (like us) have no doubt already noticed that last night's thirteenth twelfth season premier featured a brief cameo of our lil white and oh so culturally hip Xbox 360. You can watch the Xbox 360 death threat cameo from last night's "Tonsil Trouble" episode after the break in the embedded video at about 1:45. And even though this isn't the first time we've seen video game culture transcend into the South Park world, we must say that this has to be one of the funniest 360 cameos to date. Hilarious! Oh South Park ... how we love thee.

We've learned of the final five bonus tracks in Rock Band, and there are a few points of light here that will probably get a lot of you excited. Just a pro-tip from us to you: The cool kids should be jazzed about the inclusion of another song from the rad Freezepop. But if a smile sneaks on your face while thinking about screaming "Timmah!" into a microphone and being rewarded for it, we won't think any less of you.

Rock Band purchasers will be in for a South Park treat when unlocking the game's bonus tracks, because Timmy is in the house.

IGN got the scoop on a special South Park bonus track that'll be included in Rock Band entitled "Timmy & The Lords of the Underworld". And yes, it's the same song that was featured in the fourth season's "Timmy 2000" episode. A preview of the song is embedded above for your convenience and we hope you can hear and appreciate Timmy and the band's vocal range. Sweet, sweet harmony ... Tim-my, Tim-my, Tim-my!

If you watched last night's Guitar Hero South Park then you know the amount of commercial product pushing that went on. After getting through only half of our (deeply loved) South Park we could only think one thing ... holy Assassin's Creed commercial abuse Batman! Seriously, there must have been a solid ten minutes of Assassins commercials that aired during the 30 minute episode, so much so we don't think there were any other commercials played besides Comedy Central's own. So many commercials, we were starting to wonder if Ubisoft bought a stake of Comedy Central or lined Matt and Trey's pockets with the other half of Assassins' marketing budget. But after the episode concluded and our commercial intake ended, we couldn't complain. We'd be lying to say that we didn't enjoy all ten minutes of the Assassins footage. We'd also be lying if we didn't tell you that later we hopped into our car, headed to our local retailer and picked up a copy of Heroin Hero. It was an interesting night.

Our lascivious masters at Joystiq reminded us, and we now find it our duty to remind you that tonight's episode of South Park centers around Guitar Hero. Specificlaly, Stan and Kyle's friendship is put to the test when it's discovered that Stan is better at the game. The South Park Studios Production Blog has a writeup concerning the episode. Allow us to sum it up: think twice before you assume being good at Guitar Hero makes you cool. There's also a little video preview available in which we see Stan and Kyle facing off on "Carry on Wayward Son."

If you were too busy playing Guitar Hero in your underwear on Monday, you may have missed the announcement that tonight's episode of South Park will feature the rhythm game prominently in the storyline. For those of you who just can't wait those last few hours, a Comedy Central press release reveals some more details about the impending rift between Stan and Kyle, and a short video preview shows the pair looking like total goobers while trying to look cool playing the game.

In fact, the false cockiness brought on by Guitar Hero was a major motivation for the production team. On his South Park Studios Production blog, Production Assistant Mike McMahan asks us to imagine "some jerk trying to impress the ladies with his badass skills banging out Coldplay as hard as he can." By playing Guitar Hero, McMahan says, "We're even worse than that loser, because we're pretending to be him, all the while tapping our feet and clicking our fingers with the same proud idiocy that the real-life jerk performs with." On behalf of all those proud idiots, we have just one thing to say to that ... Ouch!

We already knew the team behind South Park had proclivity for Guitar Hero, and this Wednesday we'll get to see that interest translated on our TV screens. According to the South Park Studios web site, this Wednesday's episode, aptly titled "Guitar Queer-o" will see Kyle jealous over Stan's superior skills at the game. Wait, someone named Kyle isn't good at Guitar Hero? This will not stand!

When South Park delves into gaming topics, the results tend to be good -- as in the Emmy-award-winning "Make Love, Not WarCraft." As for when (a hacked version of) Guitar Hero delves into South Park ... well ... judge for yourself after the break.
